1. Acceptance of Terms

By accessing or using the Adawati platform ("the Platform"), available at https://adawati.app, you agree to be bound by these Terms and Conditions ("Terms"). These Terms constitute a legally binding agreement between you ("User") and Adawati ("we", "us", or "our"). If you do not agree to all of these Terms, you must not access or use the Platform. We reserve the right to modify, update, or amend these Terms at any time without prior notice. Continued use of the Platform after any such modifications constitutes your acceptance of the revised Terms. We recommend reviewing this page periodically to stay informed of any changes. These Terms apply to all visitors, users, and others who access or use the Platform, whether through a web browser, mobile application, or any other means.

2. Description of Service

Adawati is a free educational technology platform that provides a suite of digital tools designed primarily for Arab students and academic professionals. Our services include, but are not limited to: GPA calculation (4.0 and 5.0 scales), grade conversion between grading systems, audio-to-text transcription powered by AI (Whisper), optical character recognition (OCR) for extracting text from images, PDF-to-Word conversion, Word-to-PDF conversion, PDF compression, PDF merging, PDF splitting, image extraction from PDFs, and image-to-PDF conversion. All services are provided free of charge on an "as is" and "as available" basis without any warranties of any kind, whether express, implied, or statutory, including but not limited to warranties of merchantability, fitness for a particular purpose, accuracy, or non-infringement.

3. User Eligibility

The Platform is intended for use by individuals who are at least 13 years of age (or 16 in the European Economic Area). By using the Platform, you represent and warrant that you meet the minimum age requirement for your jurisdiction and have the legal capacity to enter into these Terms. If you are using the Platform on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

4. Acceptable Use Policy

You agree to use the Platform only for lawful purposes and in accordance with these Terms. Specifically, you agree NOT to: (a) Upload, process, or transmit any content that is illegal, harmful, threatening, abusive, defamatory, obscene, or that infringes on the intellectual property rights of others. (b) Attempt to gain unauthorized access to, interfere with, damage, or disrupt any part of the Platform, its servers, or any systems connected to the Platform. (c) Use automated scripts, bots, crawlers, or similar tools to send excessive requests that could impair Platform performance or availability (including DDoS attacks). (d) Reverse engineer, decompile, disassemble, or attempt to derive the source code of any software used in the Platform. (e) Resell, sublicense, rent, or commercially exploit the Platform or any output it generates without prior written permission. (f) Impersonate any person or entity or misrepresent your affiliation with any person or entity. (g) Use the Platform to process files containing malware, viruses, or other malicious code. Violation of this Acceptable Use Policy may result in immediate suspension or termination of your access to the Platform.

5. Intellectual Property Rights

All content on the Platform — including but not limited to text, graphics, logos, icons, images, software code, user interface design, and audio/visual materials — is the property of Adawati or is licensed to us and is protected by copyright, trademark, and other intellectual property laws. You may not copy, reproduce, distribute, modify, create derivative works from, publicly display, or otherwise exploit any Platform content without our prior written consent. However, any output generated from YOUR uploaded files (extracted text, converted documents, transcribed audio, etc.) remains your property. We claim no ownership or rights over the content of files you upload or the resulting processed output.

6. File Upload and User Responsibility

You are solely and entirely responsible for all files you upload to the Platform. By uploading a file, you represent and warrant that: (a) You own or have obtained all necessary rights, licenses, and permissions for the file. (b) The file does not infringe on any third party's copyright, trademark, privacy, or other rights. (c) The file does not contain illegal content, malware, or material that violates applicable laws. (d) You have complied with all applicable data protection regulations if the file contains personal data of third parties. The Platform operates as an automated processing system. We do not review, inspect, moderate, or access the contents of your files. We disclaim all responsibility and liability for the nature, legality, or appropriateness of any files uploaded by users.

7. Disclaimer of Warranties (As-Is Basis)

THE PLATFORM AND ALL SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ADAWATI EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO: (a) WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE. (b) WARRANTIES OF NON-INFRINGEMENT. (c) WARRANTIES REGARDING THE ACCURACY, RELIABILITY, OR COMPLETENESS OF ANY CONTENT OR OUTPUT. (d) WARRANTIES THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. You acknowledge that results produced by our AI-powered tools (transcription, OCR, GPA calculations, etc.) may contain errors and should be verified independently before relying on them for academic submissions or official purposes.

8. Limitation of Liability (Zero Liability)

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ADAWATI, ITS OWNER, OPERATORS, AFFILIATES, AND CONTRIBUTORS SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO: (a) Loss of data, files, or documents. (b) Loss of profits, revenue, or business opportunities. (c) Damage to equipment or software. (d) Business interruption or work stoppage. (e) Any damages arising from reliance on Platform output for academic or professional decisions. This limitation applies regardless of the legal theory (contract, tort, negligence, strict liability, or otherwise) and even if we have been advised of the possibility of such damages. Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.

9. Third-Party Links and Content

The Platform may contain links to third-party websites, services, or content that are not owned or controlled by Adawati. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party sites or services. This includes but is not limited to: Google AdSense advertisements, Adsterra advertising networks, and any external resources linked from blog articles. You acknowledge and agree that we are not liable for any damage or loss caused by or in connection with the use of any third-party content, goods, or services. We encourage you to review the terms and privacy policies of any third-party sites you visit.

10. Termination and Suspension

We reserve the right to suspend, restrict, or terminate your access to the Platform at any time, without prior notice or liability, for any reason, including but not limited to: (a) Violation of these Terms or the Acceptable Use Policy. (b) Conduct that we determine, in our sole discretion, is harmful to the Platform, other users, or third parties. (c) Requests from law enforcement or government agencies. (d) Unexpected technical or security issues. Upon termination, your right to use the Platform ceases immediately. Provisions of these Terms that by their nature should survive termination shall continue in full force and effect, including intellectual property provisions, disclaimers, limitations of liability, and dispute resolution.

11. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with applicable laws. Any dispute arising out of or relating to these Terms or the use of the Platform shall first be subject to good-faith negotiation between the parties. If the dispute cannot be resolved through negotiation within 30 days, it shall be submitted to the competent courts of the relevant jurisdiction. You agree that any claim or cause of action arising from your use of the Platform must be filed within one (1) year after such claim arose, or it will be permanently barred.

12. Indemnification

You agree to indemnify, defend, and hold harmless Adawati, its owner, operators, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from or related to: (a) Your use of the Platform. (b) Your violation of these Terms. (c) Your violation of any third-party rights, including intellectual property rights. (d) Any content you upload to or process through the Platform. This indemnification obligation survives the termination of these Terms and your use of the Platform.

13. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such invalidity shall not affect the remaining provisions of these Terms, which shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving its original intent.
